1. Definitions

Perfect Soup
The complete room calibration suite by Umami Audio, comprising the Calibration Wizard and Calibration Loader.
Calibration Wizard
The standalone application used to measure room acoustics and generate calibration files.
Calibration Loader
The DAW plugin (VST, AU, AAX) that loads and applies calibration in your session.
Support
A supporting speaker within a speaker group. For example, in a stereo pair with a subwoofer, the subwoofer counts as one support.
Tiers
License levels that determine limits on speaker groups and supports per group.

Extra supports: $59 one-time per additional support per group, each including 30 days of calibration access. New accounts receive a free 60-day trial of The Perfect Soup tier.

3. VST License Terms

  • Perpetual: One-time purchase; use indefinitely subject to these terms.
  • Rent-to-own: Monthly billing that includes calibration access while active. After 24 monthly payments the license automatically converts to a permanent perpetual license at no further charge. Cancelling stops billing and your progress toward ownership; access continues until the end of the paid period and the license does not convert. There is no annual plan.
  • Free trial: Each new account is granted one free 60-day trial of The Perfect Soup tier; it expires automatically and requires no payment.
  • You may install the Calibration Loader on unlimited computers, but only one computer may actively use it at a time (i.e., the plugin must be instantiated and not bypassed on only one machine). Section 5 covers how a computer is activated, released, and switched between the two license modes.
  • Offline grace period: in Standard mode, 7 days (may be adjusted per license at Umami Audio's discretion). Tethered mode has no offline grace period and requires an internet connection.

4. Calibration Subscription

  • An active calibration subscription is required to create new calibrations.
  • Perpetual tiers include bundled calibration time: 1 year for main tiers, 1 month for support add-ons. Extensions stack.
  • Standalone calibration extension: $49 for 30 days or $69 for 365 days, for perpetual and Rent-to-own license holders who need to extend beyond the bundled period. An extension bought on its own is issued as a pass; Section 6 covers when a pass takes effect.
  • Rent-to-own plans include calibration as part of the monthly fee while active; on conversion to perpetual, the standard 1-year bundled calibration applies.
  • Existing calibrations remain usable after your calibration subscription expires; you may not create new calibrations until you renew.

5. License Activation & Concurrent Use

  • One active computer per license at any time.
  • Deactivating a computer: You may sign a computer out of a license from the web dashboard or from the Calibration Loader, which frees the license for another machine. The computer that was signed out loses its activation the next time it checks in.
  • Standard mode: The default. The activation is tied to one computer and keeps working offline for the grace period below, and instant recoveries are limited.
  • Tethered mode: The computer has to stay online — the Calibration Loader checks in every few minutes and loses access shortly after it cannot — and there is no offline grace period. In exchange, instant recoveries are unlimited.
  • Instant recoveries: In Standard mode, deactivating a computer that is still in use spends 1 instant recovery, and each license has 4 of them per rolling 365-day period. When none remain, deactivating a computer that is still in use is refused until one renews or that computer's activation lapses on its own. Deactivating a computer whose activation has already lapsed costs nothing, in either mode.
  • Switching modes: You may switch a license between Standard and Tethered at any time from your dashboard or in the Calibration Loader. Every computer using that license loses its activation and signs out the next time it checks in. Leaving Standard mode spends 1 instant recovery for each computer that is still in use, so deactivating those computers first costs nothing; leaving Tethered mode is free.
  • The Calibration Loader sends periodic heartbeat checks to verify license validity and detect concurrent use. The interval between checks depends on the mode the license is in.
  • Offline grace period: 7 days in Standard mode (configurable per license). Tethered mode has no offline grace period.

6. Add-ons

  • Assignment: Add-ons are sold as extensions to a license, so an add-on may only be purchased where your account already holds a perpetual or Rent-to-own license, or a perpetual license is bought in the same order. An Extra Support is assigned to one specific license: at the time of purchase where exactly one of your licenses is eligible to receive it, and otherwise by you, at a time of your choosing, from the Add-ons & passes section of your dashboard. Once made, an assignment is permanent — it cannot be changed by the user and the add-on cannot be transferred to another license. If you need an add-on reassigned to a different license, contact support.
  • Taking effect: Once an add-on has been assigned to a license, restart the Calibration Loader to apply it right away — it fetches your licenses as it starts, so the new limits take effect immediately. If you leave the plugin running, it picks them up on its own within a day. You do not need to deactivate and reactivate your license.
  • Extra Support: Adds +1 support per group to the license it is assigned to, as a one-time purchase ($59). Each purchased Extra Support also includes a 30-day calibration pass, granted at the time of purchase and subject to the terms below. An Extra Support may be assigned to a license of any tier except The Perfect Soup (which already includes unlimited supports).
  • Calibration Extension: Extends calibration access beyond the included period, for perpetual and Rent-to-own license holders. $49 for 30 days or $69 for 365 days. An extension is issued as a pass rather than applied on purchase: a pass is applied automatically the first time you create a calibration and hold no active calibration access — oldest pass first — or you may activate one yourself from your dashboard at any time. When a pass is applied, your calibration access is extended by the number of days on the pass, counted from the date of activation or from your current expiry date, whichever is later. An unused pass does not expire.
  • Refunds: Add-on purchases follow the general refund policy (Section 9).

7. Upgrades

Perpetual license holders may upgrade to a higher tier. Upgrade pricing:

  • Micro Studio → Platinum Studio: $569
  • Micro Studio → The Perfect Soup: $969
  • Mini Studio → Platinum Studio: $549
  • Mini Studio → The Perfect Soup: $949
  • Project Studio → Platinum Studio: $449
  • Platinum Studio → The Perfect Soup: $469
  • Project Studio → The Perfect Soup: $899

The Micro, Mini, and Project tiers all have 2 speaker groups and differ only by supports per group, so they cannot be upgraded to one another — add capacity with Extra Support instead.

Upgrades are applied to the existing license; no new license is issued.

Rent to Own

  • A Rent to Own plan may be moved up to any higher tier at any time from your dashboard. Nothing is charged on the day of the change.
  • The payments you have already made carry over as credit toward the new tier. Because a higher tier costs more per month, that credit covers fewer months, so your payment count is recalculated at the new tier and your plan runs longer. You will never pay more in total than the new tier’s own 24 monthly payments.
  • Unlike perpetual licenses, a Rent to Own plan may move up within the 2 speaker group tiers (Micro, Mini and Project).
  • Rent to Own plans cannot be downgraded. A plan cannot be moved to a lower tier, and payments already made cannot be converted into a lower-tier license. If you no longer want the plan you are on, you may pause it or continue it (Section 10).

8. License Transfers

  • Perpetual licenses may be transferred to another user.
  • Transfer fee: $20.
  • All computer activations are deactivated upon transfer; the new owner must activate on their own computer(s).

9. Refund Policy

You may request a full refund within 14 days of purchase — or within any longer period required by mandatory consumer-protection law in your country — by contacting [email protected]. Refunds are processed through Creem, our merchant of record. We still recommend using the free 60-day trial to confirm the product and system requirements fit your setup before purchasing.

Rent to Own: only the most recent monthly payment can be refunded. Earlier payments cover months in which the license was available to you and are not refundable, and they cannot be paid out as cash or exchanged for a lower-tier license. This does not affect any refund right you have under mandatory consumer-protection law in your country.

10. Billing

  • Payments are processed by Creem as Merchant of Record.
  • Rent to Own billing starts at the time of purchase.
  • Calibration credit is applied upon first activation.
  • Pausing a Rent to Own plan: you may pause your plan at any time from your dashboard. Billing stops immediately. Your license keeps working to the end of the period you have already paid for, and then lapses until you resume. Paused months do not count toward the 24 payments, and the credit you have already built up is held, so resuming continues from where you left off rather than starting again.
  • Reinstatement is limited to 1 year — or any longer period required by mandatory consumer-protection law in your country. You may resume a paused plan at any point within that year. If the plan is still paused when the year ends, it closes and the credit built up toward ownership ends with it. We will email you before that happens. You may pause again after resuming; each pause starts a new 1-year period.
  • Pausing and continuing are the two options for a Rent to Own plan you no longer want to pay for at its current rate. A plan cannot be downgraded to a lower tier (Section 7).

11. Account Sharing

  • A studio may share one account.
  • Multiple licenses may be purchased under one account.
  • Only one calibration subscription is needed per account.

12. Crash Reporting & Telemetry

  • The Calibration Wizard and Calibration Loader may collect crash reports when the application encounters an unexpected error. These reports contain technical information only (stack traces, exception codes, operating system version) and do not include personal files, audio content, or browsing data.
  • Opt-in consent: On first launch you will be asked whether you wish to send crash reports to Umami Audio. You may change this preference at any time in the application settings. If you decline, no crash data is transmitted.
  • Free trial / beta exception: If your account holds a free trial license (or a legacy beta license), crash reporting is automatically enabled regardless of your opt-in preference. By using a free trial or beta license you agree to provide crash data to help Umami Audio improve product stability.
  • Trial & beta communications: By creating an account or using a free trial or beta license, you grant Umami Audio the right to contact you periodically at the email address associated with your account—and through other contact methods you have provided—to send messages about Perfect Soup, including product updates, announcements, feedback requests, surveys, and related operational information.
  • Crash reports are transmitted over HTTPS and stored on Umami Audio servers. They are used solely for diagnosing and fixing software defects. Crash data is retained for up to 90 days and then deleted.
  • Separately from crash reporting, the Calibration Wizard and Calibration Loader record license activation and usage information used to verify license validity and enforce the concurrent-use limits in Section 5; what is recorded, and how long it is kept, is described in our Privacy Policy.
  • For details on the analytics, advertising, and conversion-tracking data we collect and share with third parties — on our website and, for ad-campaign measurement purposes, through the Calibration Wizard — see our Privacy Policy.

13. Software Updates

  • All license holders (perpetual and Rent to Own) receive free lifetime software updates to Perfect Soup, including the Calibration Wizard and Calibration Loader.
  • This commitment applies for as long as Umami Audio continues to develop and maintain the Perfect Soup product. In the event that Umami Audio ceases operations or discontinues the product, this obligation ends.

14. Grandma's Spice & Acceptable Use

  • Grandma's Spice: Grandma's Spice is a separate clipper plugin offered free of charge (VST3 / AU, Windows, macOS & Linux). It is provided “as is,” without warranty, and no calibration subscription or paid license is required to use it. You may install and use it for personal or commercial audio work, but you may not resell, repackage, or redistribute the installer as your own.
  • Acceptable use: You agree not to reverse engineer, circumvent licensing or activation controls, share license credentials to exceed the concurrent-use limits, or use the software or website to violate the law or infringe others' rights.
